Welcome to EarthMapsAndDirections.app (the “Site”)! These terms (the “Terms”) are an agreement between you and EarthMapsAndDirections (defined here as “EarthMapsAndDirections”, “we”, “us” or “our”) regarding your use of the Site and Extension (as defined below).

EarthMapsAndDirections’s Privacy Policy applies to the information we collect from you via the Site and Extension. Please review our Privacy Policy as well.

 

Modifications

We are authorized to modify these Terms and our Privacy Policy anytime in our discretion. You will be notified of when the most recent modifications were made by checking the date specified on the bottom of these Terms. In addition, EarthMapsAndDirections is also authorized to update and change any portion of the Site or Extension. The Extension may automatically install new enhancements, upgrades and updates without any written notice to you. By downloading our extension (the “Extension”), you will be allowed to access interactive maps, navigation, traffic alerts, and suggested destinations. The Site and Extension are also supported by third-party links, features and materials in order for us to provide you access to our content for free (collectively, “Third-Party Materials”). Please keep in mind that EarthMapsAndDirections does not own, review or control any Third-Party Materials and as such, EarthMapsAndDirections has no responsibility and will not incur any liability regarding your use and/or access of such Third-Party Materials or your use and/or access of any additional links in such Third-Party Materials. The fact that EarthMapsAndDirections displays Third-Party Materials on the Site and Extension in no way implies that it endorses or is associated with the Third-Party Materials. Therefore, you agree to hold EarthMapsAndDirections harmless from any and all liabilities arising from your use of any Third-Party Materials via the Site and/or Extension. FURTHERMORE, EARTHMAPSANDDIRECTIONS DOES NOT WARRANT THAT THE SITE AND/OR EXTENSION WILL BE FREE OF FAILURE OF PERFORMANCE, INTERRUPTION, DELAYS, ERRORS, VIRUSES OR COMMUNICATION FAILURES, REGARDLESS OF WHETHER SUCH CLAIMS ARE BASED ON A CONTRACTUAL BREACH, NEGLIGENCE, TORT OR ANY OTHER CAUSE OF ACTION.

EARTHMAPSANDDIRECTIONS SHALL USE COMMERCIALLY REASONABLE EFFORTS TO ENSURE THAT THE SITE AND EXTENSION WORK AS PROMISED. WE DO NOT GUARANTEE, HOWEVER, THAT THE SITE AND EXTENSION WILL BE FREE OF SECURITY BREACHES, VIRUS ATTACKS, OR BUGS, OR THAT THE SITE AND EXTENSION WILL RUN UNINTERRUPED AT ALL TIMES. THE SITE AND EXTENSION WILL BE UNAVAILABLE DUE AT CERTAIN TIMES DUE TO ROUTINE MAINTENANCE AND TECHNICAL FIXES. ADDITIONALLY, YOU UNDERSTAND AND ACKNOLWEDGE THAT EARTHMAPSANDDIRECTIONS WILL NOT BE RESPONSIBLE NOR LIABLE FOR ANY CONSEQUENCES THAT YOU OR ITS USERS MAY EXPERIENCE, INCLUDING ANY CONSEQUENCES THAT MAY OCCUR AS A RESULT OF SLOW INTERNET CONNECTIONS, GENERAL INTERNET PROBLEMS OR OVERLOADING OF OUR SERVERS.

Indemnity

By using EarthMapsAndDirections’s Site and the Extension, you agree to indemnify, defend and hold harmless EarthMapsAndDirections and its officers, directors, owners, employees, affiliates, successors, agents and representatives against and from any and all damages, claims, liabilities, losses, expenses and costs (including reasonable attorneys’ fees), that may arise in any way from your violation of these Terms, your use of the Site or Extension, or any violation by you of any third-party right, including any intellectual property rights.

Uninstall

You can uninstall the Extension at any time by visiting the Uninstall page on the Site and following the instructions available there. IN NO EVENT SHALL EARTHMAPSANDDIRECTIONS OR ITS OFFICERS, DIRECTORS, OWNERS, MEMBERS, PARENTS, AFFILIATES, OR SUBSIDIARIES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR BUSINESS INTERUPTION, LOSS OF PROGRAMS OR INFORMATION, LOSS OF BUSINESS PROFITS AND SAVINGS, LOSS OF REPUTATION, GOODWILL OR MONEY OR THE LIKE), OR ANY OTHER CLAIMS OR DAMAGES ARISING IN ANY WAY OUT OF THE AVAILABILITY OF THE SITE AND/OR EXTENSION OR YOUR USE, RELIANCE ON, OR INABILITY TO USE THE SITE AND/OR EXTENSION, EVEN IF EarthMapsAndDirections WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, REGARDLESS OF THE CAUSE OF ACTION, WHETHER IN TORT, CONTRACT OR OTHERWISE, OR FOR ANY CLAIM RELATED TO ANY OMISSIONS, ERRORS OR OTHER INACCURACIES ON THE SITE OR EXTENSION.

Disputes

Any claim or dispute you may have regarding these Terms, the Site, or the Extension shall be resolved through final binding arbitration with the American Arbitration Association. In addition, any such claims or disputes must be brought individually and not as part of or on behalf of a class. Governing Law and Venue

The laws of the state of California, excluding its conflicts-of-law rules, will govern these Terms and the Privacy Policy. Please be aware that laws in a different region may also apply to your use of the Site and Extension. You expressly agree that any claim or dispute with EarthMapsAndDirections, including any claim involving your use of the Site or Extension, shall be resolved exclusively in the courts of California, including any claim involving EarthMapsAndDirections or EarthMapsAndDirections’s officers, directors, members, contractors, affiliates, employees and content providers.

 

Entire Agreement

These Terms are the complete and final agreement between you and EarthMapsAndDirections regarding the Site and Extension, and they supersede any and all prior oral or written agreements or discussions. These Terms can only be modified or amended by EarthMapsAndDirections as described above.

 

Severability

If any portion of these Terms is held invalid or unenforceable, such portion shall be construed in a manner consistent with applicable law to replicate, as nearly as reasonably possible, the original intentions of the parties, while all remaining provisions should remain to be in full force and effect.
